Terms of Service

These terms are an agreement between [Company legal name] ("Tenet", "we") and the business that creates a Tenet workspace ("Customer", "you"). By creating a workspace or using Tenet you agree to them on behalf of that business.
1. The service
Tenet is software that extracts data from supplier invoices and related documents, checks them against purchase orders and goods receipts, routes exceptions and approvals, and posts approved bills to connected accounting systems.
2. Accounts and seats
- Each person who uses Tenet needs their own account (a "seat"). Accounts may not be shared.
- Workspace admins control who has access and are responsible for their users' actions.
- Keep passwords confidential and tell us promptly at [email protected] about any unauthorised access.
3. Fees
Tenet is billed per seat per month at the price shown when you subscribe (currently US$60 per seat per month, plus applicable taxes). Seats added mid-cycle are charged pro rata. Fees are non-refundable except where the law requires otherwise. We may change prices with at least 30 days' notice, effective from your next billing period.
4. Your responsibilities — review before you pay
Tenet helps your team review invoices; it does not replace that review. Extraction and matching can be wrong. You remain responsible for approving invoices, for what is posted to your ledger, and for payments you make. Do not upload content you have no right to process, malware, or unlawful material.
5. Customer data
You own your data. You grant us the rights needed to host and process it to provide Tenet. We process personal data in it under our Data Processing Addendum, which forms part of these terms. You can export your data at any time while subscribed and for 30 days after termination.
6. Third-party services
When you connect Xero or another system, your use of it is governed by that provider's terms. We are not responsible for third-party services, and you can disconnect them at any time.
7. Acceptable use
Do not attempt to breach security, access another customer's data, reverse engineer the service, overload it, or resell it without our written agreement.
8. Availability and support
We aim to keep Tenet available and to answer support requests at [email protected] within one business day. Planned maintenance will be announced in advance where practical.
9. Term and termination
Subscriptions renew monthly until cancelled. You may cancel at any time, effective at the end of the billing period. We may suspend or end access for material breach, non-payment after notice, or where required by law.
10. Warranties and liability
Except as expressly stated in these terms, Tenet is provided "as is". To the extent the law allows, neither party is liable for indirect or consequential loss, and each party's total liability is limited to the fees paid in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, including rights under the Australian Consumer Law or the UK Consumer Rights Act where they apply.
11. General
